PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SCANALPHA PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.
NOTICE OF BINDING ARBITRATION: FOR USERS LOCATED IN NORTH AMERICA, THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 14). THIS AFFECTS YOUR LEGAL RIGHTS.
INTRODUCTION AND ACCEPTANCE OF AGREEMENT
1.1 Parties and Contractual Relationship. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "Client") and ScanAlpha, its parent companies, subsidiaries, affiliates, and successors (collectively, "Company," "we," "us," or "our"). These Terms govern your access to and use of the ScanAlpha digital platform, including the website, mobile application (the "App"), Application Programming Interfaces (APIs), and all related services, specifically the 'Horizon' AI forecasting engine, the 'Opportunities' forecast engine, and the 'Social Ideas Sharing Community' (collectively, the "Services").
1.2 The "Clickwrap" Acceptance and Enforcement. By creating an account, clicking "I Agree," accessing, or using the Services, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. This agreement is structured as a "Clickwrap" contract to ensure enforceability in courts of law, particularly regarding arbitration clauses and class action waivers. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.
1.3 Successors and Corporate Rebranding. The rights and obligations of the Company under these Terms shall inure to the benefit of and be binding upon its successors and assigns. In the event of a corporate rebranding, merger, acquisition, or name change (e.g., from FinGenesis to Finomena), these Terms shall automatically apply to the new entity without requiring a re-execution of the agreement, provided that the core nature of the Services remains substantially similar.
1.4 Geographic Scope and OFAC Sanctions. The Services are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to local law or regulation, or which would subject ScanAlpha to any registration requirement within such jurisdiction. Specifically, you represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States, United Kingdom, European Union, or United Nations has embargoed goods (including North Korea, Iran, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
NATURE OF SERVICES: THE "TOOL" DISTINCTION (NO ADVICE)
2.1 Informational Purpose Only (No Fiduciary Duty).
ScanAlpha is a provider of financial data analytics and technical intelligence. WE ARE NOT A FINANCIAL ADVISER, BROKER-DEALER, BANK, OR INVESTMENT ADVISER. The Services are provided solely for informational, educational, and research purposes.
You explicitly acknowledge and agree that ScanAlpha is a financial intelligence tool and technology provider, akin to a market data terminal or charting software. We are not a financial advisor, broker-dealer, investment adviser, bank, or tax advisor.
No Advisory Relationship: Your use of the Services does not create a fiduciary, advisory, or professional relationship between you and ScanAlpha. We have no duty to act in your best interest, and our algorithms do not possess the capacity to understand your personal financial circumstances.
Publisher’s Exclusion: All content provided via 'Horizon' and 'Opportunities,' including charts, data, AI-generated forecasts, and technical signals, is for informational, educational, and research purposes only. It constitutes "impersonal investment advice" under the meaning of the U.S. Investment Advisers Act of 1940 and similar global regulations, as it is not tailored to the individual needs of any specific user.
2.2 "Opportunities" and Technical Analysis. No Personal Recommendations.
The 'Opportunities' feature generates forecasts based on algorithmic technical criteria (e.g., price momentum analysis) applied uniformly to market data. These forecasts:
Are generic and provided to all users or user segments equally;
Do not consider your individual financial situation, risk tolerance, investment objectives, or needs; and
Do not constitute a recommendation or solicitation to buy, sell, or hold any specific security or financial instrument. You agree that you are solely responsible for determining the suitability of any trade.
2.3 Execution Only. ScanAlpha functions on an "Execution Only" basis. We do not execute trades, hold client funds, or clear transactions. You agree that you bear sole responsibility for your own investment research and decisions, and you should seek the advice of a qualified securities professional before making any investment. ScanAlpha shall not be liable for any trading losses incurred due to reliance on 'Horizon' forecasts or 'Opportunities' forecasts.
2.4 User Responsibility (Suitability).
You acknowledge that you are solely responsible for determining the nature, potential value, and suitability of any investment strategy or transaction. ScanAlpha does not assess the suitability of any trade for you. You should consult with a qualified, licensed financial advisor before making any investment decisions.
ARTIFICIAL INTELLIGENCE & 'HORIZON' FORECASTS
3.1 The Probabilistic Nature of AI.
The 'Horizon' feature utilizes advanced artificial intelligence, including stochastic modeling, deep learning neural networks, and large language models (LLMs), to generate market forecasts. You acknowledge and agree that:
Probabilistic Outputs: AI outputs are probabilistic predictions based on historical data patterns. They are theoretical projections, not guarantees of future market performance.
Non-Deterministic: Unlike standard software, AI models are non-deterministic. The same input may occasionally produce different outputs due to the stochastic nature of the underlying algorithms.
Past Performance: Historical performance of the AI model, whether actual or back-tested, is not indicative of future results.
3.2 AI "Hallucinations" and Model Risk. You acknowledge that generative AI technologies may occasionally produce "hallucinations" - outputs that appear factually coherent, persuasive, and logical but are incorrect, misleading, or nonsensical. Furthermore, AI models may be subject to "model drift," where the predictive power of the algorithm degrades over time due to changing market regimes ("Black Swan" events). ScanAlpha does not warrant the accuracy, completeness, or reliability of any AI-generated content. You agree to independently verify all AI-generated data before relying on it for any financial decision.
3.3 Hypothetical Performance Disclosure.
Any performance data labeled as "Back-tested," "Simulated," or "Hypothetical" within the Services has inherent limitations:
It is prepared with the benefit of hindsight.
It does not account for financial risk or the impact of actual market conditions, such as lack of liquidity, slippage, or bid-ask spreads.
No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
3.4 No Performance Guarantee.
ScanAlpha does not guarantee that the use of 'Horizon' or 'Opportunities' will result in profits or prevent losses. Any historical hit rates and/or success rates displayed are based on historic forecasts data, which has inherent limitations and does not represent actual trading.
3.5 User Responsibility. You agree to verify all AI-generated information independently. ScanAlpha shall not be liable for any trading losses incurred due to reliance on 'Horizon' forecasts or 'Opportunities' forecasts or use of its any other data and features.
USER ACCOUNTS & DATA INTEGRITY
4.1 Registration Information.
To access the Services, you must provide accurate, current, and complete information, including your Salutation (optional), Name, Email Address, Mobile Number, Country of Residence, and Username.
Username Visibility: You acknowledge that your Username will be publicly visible within the Social Ideas Sharing Community. You agree not to select a Username that is offensive, impersonates others, or violates intellectual property rights.
4.2 Mobile Number & Verification.
By providing your mobile number, you consent to receive SMS messages and WhatsApp messages for account security (e.g., Two-Factor Authentication).
INTELLECTUAL PROPERTY, ANTI-SCRAPING, AND DATA RIGHTS
5.1 Ownership of Services. All content, algorithms, software, visual interfaces, interactive features, information, graphics, design, compilation, computer code, products, software, and all other elements of the Services (the "ScanAlpha Materials") are the proprietary property of ScanAlpha or its licensors and are protected by international copyright, trade secret, patent, and trademark laws. Specifically, the proprietary algorithms powering 'Horizon' and 'Opportunity' are protected as trade secrets.
5.2 Prohibited Uses (The "Wall Street" Anti-Scraping Clause).
To protect our proprietary data and models, you strictly agree NOT to:
Scrape or Mine: Use any robot, spider, scraper, deep-link, or other automated data gathering or extraction tool, program, algorithm, or methodology to access, acquire, copy, or monitor the Services or any portion of ScanAlpha's data ("Content").
Train Third-Party AI: You are strictly prohibited from using any Content, data, or output from ScanAlpha to train, fine-tune, or improve any third-party artificial intelligence system, machine learning model, or Large Language Model (LLM) without our express written permission. This prohibition applies to both commercial and non-commercial AI research.
Reverse Engineer: Decompile, reverse engineer, disassemble, or attempt to derive the source code, underlying algorithms, or trade secrets of the 'Horizon' feature or the App.
Resell: Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services for any commercial purpose without express written consent.
5.3 User-Generated Content (UGC) License for AI Training. The Services allow you to post messages, charts, and trading ideas ("User Content"). While you retain ownership of your User Content, you grant ScanAlpha a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute such User Content. Crucially, this license includes the right for ScanAlpha to use your User Content to train, improve, and validate our artificial intelligence models, algorithms, and datasets. You waive any right to compensation or attribution for such use, and you acknowledge that this data contributes to the collective intelligence of the platform.
SOCIAL COMMUNITY CONDUCT AND MARKET MANIPULATION
5.1 The "Roaring Kitty" Protocol.
ScanAlpha is committed to maintaining the integrity of financial markets. You agree NOT to use the Community to:
Market Manipulation: Post false, misleading, or exaggerated information intended to artificially inflate or deflate the price of a security ("pump and dump" schemes). ScanAlpha utilizes automated moderation tools to detect keywords associated with manipulation (e.g., "guaranteed," "moon," "all in") and reserves the right to ban users engaging in such conduct without refund.
Financial Promotion: Distribute unauthorized advertising, promotional materials, or solicit investment funds from other users.
Harassment: Engage in targeted abuse, harassment, hate speech, or "doxing" of other users.
5.2 Social Trading Risk Disclaimer.
If you choose to follow, copy, or replicate the trading ideas of other users ("Social Trading"):
No Endorsement: ScanAlpha does not endorse, vet, or verify the expertise of any user. Rankings of "Popular" or "Top" traders are algorithmic and based on past performance, which is not a guarantee of future success.
High Risk: You acknowledge that Social Trading involves a high degree of risk, including the risk of following inexperienced traders or traders whose ultimate purpose or financial status differs from yours. You alone are responsible for your reliance on community-generated content.
MARKET DATA AND THIRD-PARTY DISCLAIMERS
7.1 Data Accuracy and Delays. Market data (e.g. prices, news, or more) is sourced from third-party sources and providers. ScanAlpha does not guarantee the timeliness, sequence, accuracy, or completeness of this data. You acknowledge that data may be delayed (e.g., by 15 minutes or 30 minutes or more) and should not be relied upon for real-time trade execution. ScanAlpha disclaims all liability for errors or delays in market data.
5.3 User-Generated Content (UGC) License for AI Training. The Services allow you to post messages, charts, and trading ideas ("User Content"). While you retain ownership of your User Content, you grant ScanAlpha a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute such User Content. Crucially, this license includes the right for ScanAlpha to use your User Content to train, improve, and validate our artificial intelligence models, algorithms, and datasets. You waive any right to compensation or attribution for such use, and you acknowledge that this data contributes to the collective intelligence of the platform.
SUBSCRIPTIONS, BILLING, AND CANCELLATION
8.1 Paid Services.
Access to premium features requires a subscription. You agree to pay all fees associated with your selected plan. Fees are billed in advance on a recurring basis. You authorize us to charge your payment method for the applicable fees.
8.2 Right of Withdrawal (EU/UK Users). If you are a consumer in the European Union or United Kingdom, you generally have a right to withdraw from a digital contract within 14 days. HOWEVER, BY SUBSCRIBING AND ACCESSING THE PREMIUM CONTENT IMMEDIATELY, YOU EXPRESSLY CONSENT TO THE IMMEDIATE PERFORMANCE OF THE CONTRACT AND ACKNOWLEDGE THAT YOU LOSE YOUR RIGHT OF WITHDRAWAL.
8.3 Cancellation.
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing cycle. No refunds will be issued for partial billing periods, except as required by applicable law (e.g., Australian Consumer Law).
DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SCANALPHA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND DATA ACCURACY. WE DO NOT WARRANT THAT THE 'HORIZON' FORECASTS WILL BE ACCURATE, OR ANY OTHER FEATURE WILL BE ACCURATE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
LIMITATION OF LIABILITY AND INDEMNIFICATION
10.1 General Limitation. TO THE MAXIMUM EXTENT PERMITTED BY LAW (INCLUDING UNDER THE AUSTRALIAN CONSUMER LAW AND UK CONSUMER RIGHTS ACT), SCANALPHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM: (A) YOUR ACCESS TO OR USE OF THE SERVICES; (B) YOUR RELIANCE ON ANY 'HORIZON' OR 'OPPORTUNITIES' DATA OR ANY OTHER FEATURE AND ITS DATA; (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (D) UNAUTHORIZED ACCESS TO YOUR ACCOUNT.
10.2 Monetary Cap. IN NO EVENT SHALL SCANALPHA'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO SCANALPHA IN THE LAST TWELVE (12) MONTHS PRECEDING THE CLAIM. This cap applies regardless of the number of claims.
10.3 Force Majeure. ScanAlpha shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials ("Force Majeure Events"). This specifically includes internet service provider failures or denial of service attacks.
10.4 Indemnification. You agree to indemnify, defend, and hold harmless ScanAlpha and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party right.
DISPUTE RESOLUTION: ARBITRATION & CLASS ACTION WAIVER
11.1 Binding Arbitration.
Except for small claims disputes, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the in accordance with its Commercial Arbitration Rules.
11.2 Class Action Waiver. You and ScanAlpha agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
11.3 Governing Law. These Terms are governed by the laws of Singapore.
